At the event, our team delivered a presentation and joined discussions on the key developments and practical implications of Law on Land 2024, as well as important considerations from both buyer and seller perspectives in real estate M&A transactions.
During the discussion, our team highlighted how Law on Land 2024 fundamentally reshapes Vietnam’s hospitality sector by introducing annual, market-based land pricing and establishing annual rent as the standard payment method for commercial projects. These reforms enhance transparency and predictability for project economics by aligning legal land values more closely with actual market conditions.
A key highlight is the formal legal recognition of mixed-use hospitality assets such as condotels and resort villas, which provides a clearer statutory basis for the issuance of Land Use Right Certificates (Pink Books). This legal clarity enables developers to structure projects with greater flexibility, including the ability to separate components of large developments into distinct sub-projects.
Such a framework creates more targeted investment opportunities, allowing investors to focus on specific asset classes, such as hotel operations or commercial components, without assuming exposure to the entire development. At the same time, given the operationally intensive nature of hospitality assets, their value is closely tied to management expertise and specialised licensing. For this reason, successful M&A transactions in the sector require strong cross-functional coordination and a collaborative, “win-win” negotiation mindset between parties.
